Terms of Service (Listen Repeat)

Effective Date: December 22, 2025

These Terms of Service (the “Terms”) govern your access to and use of Listen Repeat (the “Service”) provided by Everyground (“Everyground”, “we”, “us”, or “our”). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

5.1 In-app purchases

Paid Features may be offered as auto-renewable subscriptions or other in-app purchases through Apple App Store or Google Play. Your purchase is processed by the applicable platform provider (Apple or Google). We do not collect or store your full payment card details.

5.2 Auto-renewal

If you purchase an auto-renewable subscription, it will automatically renew unless you cancel it in accordance with the platform’s rules. You can manage and cancel subscriptions through your App Store / Google Play account settings.

5.3 Refunds

Refund requests are handled under Apple/Google policies and applicable law. We may provide reasonable assistance investigating issues, but we do not control the platform’s refund decisions.

5.4 Price and feature changes

We may change pricing or features of Paid Features as permitted by applicable law and platform rules. If required, we will provide notice through the Service and/or your registered email.

6. Ads (Google AdMob)

The Service may display advertisements, including ads served by Google AdMob and its partners. Ad providers may collect and use certain information to deliver and measure ads as described in our Privacy Policy and their policies.

7. User Content and AI Processing (Audio Transcription)

7.2 Limited license to operate the Service

You grant us a limited, non-exclusive, worldwide license to host, store (temporarily), transmit, and process your User Content solely to operate the Service and provide the features you request (including transcription).

7.3 Storage and deletion

Audio files uploaded for transcription may be stored briefly in Amazon Web Services (AWS) S3 in the Seoul region for processing reliability (e.g., uploads, queuing, retries). We delete audio files and transient processing artifacts promptly after transcription completes. We do not store transcripts (scripts) as persistent records on our servers.

7.4 Third-party processing (OpenAI)

To provide transcription/script extraction, we may send audio to an AI service provider (such as OpenAI) for processing. Such providers may process data outside Korea subject to safeguards described in our Privacy Policy.

7.5 No guarantee of accuracy

AI-generated outputs may contain errors or omissions. You are responsible for reviewing outputs before relying on them. The Service is not intended for emergency use or high-stakes decisions.

The Service, including its software, design, and trademarks, is owned by Everyground or its licensors and is protected by applicable laws. Except for the limited rights expressly granted, no rights are transferred to you.

We may suspend or terminate access if you violate these Terms, if required by law, or to protect the Service, users, or us. We may also suspend the Service temporarily for maintenance, security, or operational reasons; where practicable, we will provide notice.

To the maximum extent permitted by applicable law, the Service is provided on an “AS IS” and “AS AVAILABLE” basis. We disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow certain warranty disclaimers, so some of these disclaimers may not apply to you.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Everyground will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill. Our total liability for claims relating to the Service will not exceed the amount you paid to us for the Service in the 3 months preceding the event giving rise to the claim (or, if you paid nothing, a reasonable amount as determined under applicable law). Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Everyground from claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your User Content or your violation of these Terms or applicable law.

Our collection and use of personal information are described in our Privacy Policy, which is incorporated by reference into these Terms.

15. Apple / Google Platform Terms

Your use of the Service may also be subject to Apple and/or Google terms and policies (including subscription management and refunds). Apple and Google are not parties to these Terms and are not responsible for the Service, except as required by applicable law.

16. Changes to These Terms

We may update these Terms from time to time as permitted by applicable law. If we make material changes, we will provide notice through the Service and/or your registered email. Continued use after the effective date constitutes acceptance.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Korea, excluding its conflict-of-law rules. If a dispute arises, the parties will attempt to resolve it in good faith. Any legal action must be brought in a court of competent jurisdiction in Korea, and nothing in these Terms is intended to restrict any mandatory consumer rights to file in a competent court under applicable law.

18. Regional Consumer Rights Addendum

18.1 EEA/UK

If you are a consumer located in the EEA/UK, you may have mandatory statutory rights (including consumer protection rights). Nothing in these Terms is intended to exclude or limit any rights that cannot be excluded or limited by applicable law.

18.2 United States (including California)
